RESOLUTIONS ADOPTED BY THE 34TH ANNUAL GENERAL ASSEMBLY
HARARE, REPUBLIC OF ZIMBABWE ON
16-17 DECEMBER 2002


AMENDMENT OF ARTICLES OF ASSOCIATION RES AGA34/1

Noting that the 33rd Annual General Assembly adopted, among others, an amendment to the composition of the Executive Committee whereby the representatives of the African Region in the International Air Transport Association (IATA) Board of Governor were made non-voting members of the Executive Committee of the African Airlines Association;

Recognizing that the granting of a voting right to the ex-officio members of the Committee will encourage the active participation of such members and allow also flexibility to expand the membership of the Committee

The 34th Annual General Assembly of the African Airlines Association meeting in Harare, the Republic of Zimbabwe on 16-17 December 2002 unanimously

Resolves,

To amend Article 11.2 of the Articles of Association to read as follows:

“11.2. Composition
The Executive Committee shall consist of nine elected members, the President, First vice President and Second Vice President and six committee members. In addition to the above nine members, representatives of the African region in the International Air Transport Association Board of Governors shall be voting members of the Executive Committee.”

AVIATION THIRD PARTY WAR RISK INSURANCE RES AGA 34/2

Whereas following the September 11 attack the notice of cancellation of third party aviation war risk insurance brought the airline operations to the brink of almost a stand still, thereby prompting many governments, including some African governments, to step in and provide support to their airlines in the form of indemnity or guarantee as a short term solution;

Whereas subsequent to such notice of cancellation, third party insurance cover has been reinstated by the insurance market, however the inadequacy of the cover limit to meet regulatory requirement, the unaffordable high premium coupled with the threat of total withdrawal of cover by underwriters in the event of further terrorist attack, necessitated the extension of government guarantee/indemnity in the short term while prompting ICAO and other stake holders to seek solutions for the medium and long term;

Noting that the ICAO Council on 27 May 2002 approved in principle the proposal to establish a global third party aviation war risk insurance scheme (the “Global Scheme”) which is envisaged to provide a non-cancelable third party aviation war risk insurance coverage, at an affordable price, to airlines operators and other parties involved in civil aviation, through a non-profit insurance entity, backed by guarantees of States;

Noting further that the commencement of the Global Scheme requires the participation of contracting States, the sum of whose ICAO contribution rates should amount to at least 51% of the total contributions;

Believing that the ICAO proposed Scheme with its global approach is the best approach for Africa as governments may not be able to provide guarantee/indemnity that meet legal and other requirements or establish jointly on a sustainable basis regional alternative insurance scheme that meet international and national regulatory requirements;

Resolves,

To Urge African States to participate in the Global Scheme and communicate to the ICAO Secretariat the expression of their intent to participate in the scheme before the dead line date set by ICAO.

To request all member airlines to encourage their respective governments to support the Global Scheme and indicate their intent to participate within the deadline set by ICAO.

COMMERCIALIZATION & PRIVATIZATION RES AGA 34/3

Believing that the successful development of African countries and the building of the African Union requires, among other things, a developed and efficient air transport industry;

Realizing that the fast progress of liberalization of air transport posed a serious threat to the continued survival, of most of the African National Carriers unless governments, who are the sole shareholders, take urgent measures to avert such threat;

Concerned that the high rate of change of Chief Executive Officers of national airlines negatively impacts on the stability and performance of national airlines;

Considering that among others, an effective and efficient airline depends on stable and professional management and trained manpower;

Resolves,

To call upon African governments;

§ to take practical measures to commercialize or privatize, as the case may be, their National airlines and create the enabling environment for an independent and stable Management, directed and managed by professional board and Chief Executive Officers;

REMOVAL OF BARRIERS & IMPEDIMENTS RES AGA 34/4

Aware that the continued existence of numerous barriers and impediments, such as visa and custom restrictions, to the free movement of people and goods within, to and from Africa, contrary to the spirit and letters of Yamoussoukro Decision and various other declarations by African States, continue to adversely affect the development of African airlines.

Convinced that the progressive removal of these restrictions and barriers will further facilitate the growth and development of the air transport industry in Africa.

RESOLUTION EXPRESSING THANKS TO HIS EXCELLENCY, ROBERT GABRIEL MUGABE, THE PRESIDENT OF THE REPUBLIC OF ZIMBABWE

The 34th Annual General Assembly of the African Airlines Association meeting in Harare, Republic of Zimbabwe, successfully concluded on 17 December 2002.

Having been bestowed the honour and privilege of being officially opened by His Excellency, President Robert Gabriel Mugabe, the Head of State of the Republic of Zimbabwe on
16 December 2002.

Recognizing the sustained support of His Excellency, President Robert Gabriel Mugabe, to the Air Transport Industry through his commitment and practical contribution to the development of Air Zimbabwe

Recognizing the excellent reception and warm welcome extended to the delegates by the people and Governments of the Republic of Zimbabwe.

Resolves to:

congratulate His Excellency, President Robert Gabriel Mugabe, for his achievements in the leadership of Zimbabwe and his contribution to the quest for African unity

express heartfelt gratitude to His Excellency, President Robert Gabriel Mugabe, the President of the Republic of Zimbabwe for finding time to officially open the Assembly on 16 December 2002

thank His Excellency, President Robert Gabriel Mugabe, for his expressed support for African airlines as major players in the economic integration of Africa

thank the people of Zimbabwe, their Government, the Board of Directors of Air Zimbabwe, the Management and staff of the airline for their outstanding hospitality

undertake to commit ourselves to work diligently and tirelessly to meet the high goals set for us by His Excellency, President Robert Gabriel Mugabe.

Be it resolved that:

The Statements of Accounts of the Association and the Auditors' report thereon for the year ended December 31, 2001 be and are hereby approved.

APPOINTMENT OF AUDITORS FOR 2002 RES AGA 34/7

Be it resolved that:

Messrs Deloitte & Touche, Certified Public Accountants of Kenya be and are hereby appointed External Auditors of the Association for the Year 2002.


APPROVAL OF ANNUAL BUDGET AND
MEMBERSHIP SUBSCRIPTION FOR THE YEAR 2003 RES AGA 34/8

Be it resolved that

The annual budget and membership subscriptions for the year 2003 be and are hereby approved as submitted to the Assembly.


AIRLINE FUNDING INITIATIVE FOR AFRICA (AFIFA) RES AGA 34/9

Conscious of the key role that African airlines play in the realization of the objectives and ideals of the African Union and the New Economic Partnership for African Development (NEPAD) of economic and political integration of Africa.

Recognizing that the limited availability and the very high cost of financing to African airlines has greatly impeded the restructuring/revamping of the airlines.

Noting with satisfaction the initiative and actions taken by the Executive Committee and the Secretariat towards the study and establishment of an airline funding for Africa.

Convinced that such a fund dedicated to providing financing on a commercial basis to African airlines will greatly facilitate the strengthening and growth of the African airlines.

Resolves:

· To support the initiative and action so far taken by the Executive Committee and the Secretariat in this regard;

· To direct the Executive Committee and the Secretariat to continue their effort for the early realization of the Fund.

· To call upon all member airlines to support the initiative by providing the airline data and information and other assistance necessary to conduct the feasibility study.

· To call upon the African governments, regional and international financial institutions and other development partners to support the initiative by providing funding for the feasibility study and participating in the Fund as and when it is put in place.

Be it resolved that:

Capt. Fathi R. Shatti, be and hereby is elected President of the Association for the year 2003; and further resolved that

Mr. J. Jiya, Chief Executive of Nigeria Airways and Mr. Brian Presbury, Chief Executive of Kenya Airways be elected 1st and 2nd Vice Presidents respectively for the year 2003.

Be it resolved that the 35th Annual General Assembly be held in Tripoli, Libya on
8-9 December 2003.

CONFIRMATION OF APPOINTMENT OF
MEMBERS OF STANDING COMMITTEES RES AGA 34/13

Be it resolved that

The nomination shown on the attachment hereto made to the Traffic, Economic/Finance, Technical/Operations, Training and Legal Committees be and are hereby confirmed. It being further understood that the list shall be kept open for a further period sixty days after the close of the 34th AGA to allow for further nominations by members who have not yet done so; and

Noting that the Standing Committees play a pivotal role in the work of the Association request all members to encourage and authorize their designated representative to effectively participate in the work of the respective Standing Committees.
